Terms of Service

By accessing or using the App, you confirm that you are at least 16 years old (or the higher minimum age required by the law of your country), have read and understood these Terms, and agree to be bound by them. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not use the App.

Car Manager is a fleet management application operated by Sergii Solonyna, a private entrepreneur (FOP) registered in Ukraine, acting as the operator and data controller ("the Operator"). The App provides tools to:

• Track and manage vehicles (personal and fleet).
• Record fuel, maintenance, and other operating expenses.
• Schedule and track maintenance intervals and reminders.
• Manage driver shifts and work records.
• Discover and manage service providers (workshops, garages).
• Collaborate with team members (drivers, managers, admins) within an organization.

The App is available via web browser and mobile applications (iOS and Android). We reserve the right to modify, suspend, or discontinue features or the App at any time with reasonable notice where possible.

To use the App you must register an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
• You may not share your account credentials with others or create accounts on behalf of others without their consent.
• We reserve the right to suspend or terminate accounts that violate these Terms.

You agree not to use the App to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload, transmit, or distribute malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the App, its servers, or connected systems.
• Interfere with or disrupt the integrity or performance of the App.
• Reverse engineer, decompile, or disassemble the App except where permitted by applicable law.
• Scrape, crawl, or use automated tools to extract data from the App without our express written consent.
• Impersonate any person or entity or falsely represent your affiliation with a person or entity.

Certain features of the App require a paid subscription. By subscribing, you agree to the following:

• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). Payment is processed by Stripe. We do not store your full card number.
• Free tier: We may offer a free tier with limited functionality. We reserve the right to change or discontinue the free tier at any time with reasonable notice.
• Cancellation: You may cancel your subscription at any time through the app settings. Access to paid features continues until the end of the current billing period; no refund is issued for unused time unless required by applicable law.
• Price changes: We will give at least 30 days' notice before increasing subscription prices. Continuing to use the App after a price change constitutes acceptance of the new price.
• EU right of withdrawal: if you are a consumer in the EU/EEA, you normally have 14 days to withdraw from a purchase of digital services. By subscribing and requesting immediate access to paid features, you expressly agree that performance begins immediately and acknowledge that your right of withdrawal is lost once the service has been fully provided. This does not affect any non-waivable statutory rights.
• Taxes: Subscription fees may be subject to taxes (e.g., VAT) depending on your location. The displayed price may or may not include applicable taxes.

You retain ownership of all data and content you submit to the App ("User Content"), including vehicle records, expense data, shift records, and uploaded documents.

• By submitting User Content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display that content solely as necessary to provide the App to you.
• You are responsible for ensuring that your User Content does not infringe third-party rights or violate applicable law.
• We will handle your personal data in accordance with our Privacy Policy.
• You may export your data at any time by contacting us at [email protected]. We will return a JSON archive within 30 days.

The App, including its design, source code, trademarks, and all content not uploaded by users, is owned by the Operator or its licensors and is protected by intellectual property laws.

• These Terms do not grant you any right, title, or interest in the App beyond the limited licence to use it as described here.
• You may not copy, modify, distribute, sell, or lease any part of the App or its underlying code without our express written permission.
• "Car Manager" and related logos are trademarks of the Operator. You may not use them without prior written consent.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. Vehicle data, mileage estimates, maintenance recommendations, and OBD diagnostic information are provided for informational purposes only and are not a substitute for professional mechanical advice.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you in full.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF:

• Your use of or inability to use the App;
• Any unauthorized access to or alteration of your transmissions or data;
• Any errors, inaccuracies, or omissions in the App content;
• Any other matter relating to the App.

Where liability cannot be excluded by law, our total liability to you for all claims arising out of or relating to these Terms or the App will not exceed the amount you paid us in the 12 months preceding the claim, or €50, whichever is greater.

Nothing in these Terms excludes or limits the Operator's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intent or gross negligence, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer, your mandatory statutory rights are not affected.

You may stop using the App and delete your account at any time via Profile → Delete account. Deletion starts a 90-day retention window during which you may cancel by signing in again; at the end of that window your personal data is anonymised, as described in our Privacy Policy.

We may suspend or terminate your access to the App immediately, with or without notice, if:

• You breach these Terms;
• We reasonably believe your use poses a security risk or legal liability;
• We discontinue the App (in which case we will provide reasonable notice and allow data export).

Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, limitations of liability, and governing law) will survive.

We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice inside the App and, where feasible, by email. The "Last updated" date at the top reflects the current version.

Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the App.

The Operator may transfer its rights and obligations under these Terms to a successor entity (including upon incorporation or reorganisation of the business), provided that your rights under these Terms are not diminished. We will notify you in advance of any such transfer by posting a notice inside the App and, where feasible, by email.

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. Subject to the mandatory consumer provisions below, disputes arising out of or relating to these Terms shall be subject to the courts of Ukraine at the Operator's place of registration.

Consumers in the EU/EEA: nothing in these Terms deprives you of the protection afforded by the mandatory consumer-protection provisions of the law of your country of residence, and you may also bring proceedings in the courts of your country of residence.

Consumers in the United States: these Terms do not waive any rights you may have under the mandatory consumer-protection laws of your state of residence.

Where any provision of these Terms conflicts with a mandatory consumer-protection law applicable to you, that mandatory law prevails to the extent of the conflict.

If you are a consumer based in the EU, you also have access to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
